本文選自于《中華人民共和國(guó)中外合資經(jīng)營(yíng)企業(yè)法》，譯者不詳，屬于典型的法律條文翻譯，生詞較多，句式較難，可以認(rèn)為是本書中最難的一篇課文，但是翻譯方法體現(xiàn)較多，在學(xué)習(xí)時(shí)要多注意句式的變化。

第一條中華人民共和國(guó)為了擴(kuò)大國(guó)際經(jīng)濟(jì)合作和技術(shù)交流，允許外國(guó)公司、企業(yè)和其他經(jīng)濟(jì)組織或個(gè)人(以下簡(jiǎn)稱外國(guó)合營(yíng)者)，按照平等互利的原則，經(jīng)中國(guó)政府批準(zhǔn)，在中華人民共和國(guó)境內(nèi)，同中國(guó)的公司、企業(yè)或其他經(jīng)濟(jì)組織(以下簡(jiǎn)稱中國(guó)合營(yíng)者)共同舉辦合營(yíng)企業(yè)。
Article 1 With a view to expanding international economic cooperation and technological exchange, the People's Republic of China permits foreign companies, enterprises, other economic organizations or individuals (hereinafter referred to as "foreign joint venturers") to establish equity joint ventures together with Chinese companies, enterprises or other economic organizations (hereinafter referred to as "Chinese joint venturers") within the territory of the People's Republic
of China on the principle of equality and mutual benefit and subject to approval by the Chinese Government.
第二條中國(guó)政府依法保護(hù)外國(guó)合營(yíng)者按照經(jīng)中國(guó)政府批準(zhǔn)的協(xié)議、合同、章程在合營(yíng)企業(yè)的投資、應(yīng)分得的利潤(rùn)和其他合法權(quán)益。
Article 2 The Chinese Government protects, according to the law, the investment of foreign joint venturers, the profits due them and their other lawful rights and interests in an equity joint venture, pursuant to the agreement, contract and articles of association approved by the Chinese Government.
合營(yíng)企業(yè)的一切活動(dòng)應(yīng)遵守中華人民共和國(guó)法律，法令和有關(guān)條例的規(guī)定。
All activities of an equity joint venture shall comply with the provisions of the laws, decrees and pertinent regulations of the People's Republic of China.
國(guó)家對(duì)合營(yíng)企業(yè)不實(shí)行國(guó)有化和征收;在特殊情況下，根據(jù)社會(huì)公共利益的需要，對(duì)合營(yíng)企業(yè)可以依照法律程序?qū)嵭姓魇?，并給予相應(yīng)的補(bǔ)償。
The State shall not nationalize or requisition any equity joint venture. Under special circumstances, when pubic interest requires, equity joint ventures may be requisitioned by following legal procedures and appropriate compensation shall be made.
第三條合營(yíng)各方簽訂的合營(yíng)協(xié)議、合同、章程，應(yīng)報(bào)國(guó)家對(duì)外經(jīng)濟(jì)貿(mào)易主管部門（以下稱審查批準(zhǔn)機(jī)關(guān)）審查批準(zhǔn)。
Article 3 The equity joint venture agreement, contract and articles of association signed by the parties to the venture shall be submitted to the State's competent department in charge of foreign economic relations and trade (hereinafter referred to as the examination and approval authorities) for examination and approval.
審查批準(zhǔn)機(jī)關(guān)應(yīng)在三個(gè)月內(nèi)決定批準(zhǔn)或不批準(zhǔn)。
The examination and approval authorities shall decide to approve or disapprove the venture within three months.

Article 4 An equity joint venture shall take the form of a limited liability company.
在合營(yíng)企業(yè)的注冊(cè)資本中，外國(guó)合營(yíng)者的投資比例一般不低于百分之二十五。
The proportion of the foreign joint venturer's investment in an equity joint venture shall be, in general, not less than 25 percent of its registered capital.
合營(yíng)各方按注冊(cè)資本比例分享利潤(rùn)和分擔(dān)風(fēng)險(xiǎn)及虧損。
