兩者均與公司的接管有關(guān),但其意思則剛好相反。其中, raider指企圖以購(gòu)買商事公司(business corporation)股票和置換公司管理層以達(dá)到控制公司目的者或企業(yè),多指一種敵意性的接管行為(hostile takeover)[1],也稱為 corporate raider, hostile bidder或unfriendly suitor,故為“公司敵意接管人”。而white knight則是指一個(gè)人或公司為救援一即將被敵意接管之目標(biāo)公司,采取措施,尤指以收購(gòu)目標(biāo)公司的控制股權(quán)或以故意競(jìng)標(biāo)的方式阻止敵意接管人之接管,故為“公司接管救援者”[2],也 稱為friendly suitor。
